Account Opening and Disclosure Agreement (the “Agreement”)
This Agreement governs your Client Account with Inotrah / Innovators and Trailblazers Holdings (PTY) Ltd (“Inotrah”), specifically concerning the offering of Precious Metals Products and associated services, as well as any cash balances and Precious Metals held in your Inotrah/Innovators and Trailblazers Holdings (PTY) Ltd Account.
Transaction Fees
The price of any Precious Metal purchase or sale order will include a transaction fee (“Transaction Fee”), which will be incorporated in the price presented to the Client on the trading pages and trade confirmations.
The Transaction Fee will be determined by the monetary value of the order and will be utilized by Inotrah/Innovators and Trailblazers Holdings to cover various expenses, including trading, transportation (including costs of insuring Precious Metals during transport), and administrative costs.
Secured Storage and Service Fee
Clients will incur a service fee (the “Service Fee”) on a monthly basis, retrospectively. The Service Fee commences accruing on the settlement date of purchases and ceases accruing on the settlement date minus one for sales.
The Service Fee amount is calculated by aggregating the daily accrual of the Client settled holdings. Asset Base Fee = (Daily Valuation * BPS)/Number of days in the year. The value of a Client’s Precious Metal holdings for each day is equal to such Client’s
holdings at the close of business at the average closing bid price for such day or the last day such price was available for weekends and business holidays.
The Service Fee is utilized to cover Inotrah overhead expenses, including, but not limited to, expenses associated with the storage, security, insurance, and verification of Precious Metals (including fees and expenses paid to the Vaulting Partners and the Auditors), costs related to preparing reports and valuations, legal expenses, and other operating expenses of Inotrah.
Other Fees
Any additional fees such as delivery, commission, funding, etc., will be displayed when executing the appropriate action, allowing the Client to confirm before submitting the request.
Redemptions
Inotrah reserves the right, without prior notice to the Client, to redeem any Precious Metals in a Client’s account to fulfill any obligations of a Client to Inotrah for which the Client is in arrears for more than thirty (30) days (the “Obligations”), including without limitation Storage Fees and any other fees and expenses relating to a Client’s account. If Inotrah redeems any of a Client’s Precious Metals for any reason, it will charge the Client a fee of 2.5% of the dollar amount of the Precious Metals redeemed, in addition to the amount required to pay in full all of the Client’s outstanding Obligations.
Business Day
A valid business day is one in which the Johannesburg Stock Exchange (JSE) is open for business. Standard trading hours are between 9:00 am and 5:15 pm SAST. Any trading outside of these hours would be considered extended trading hours.

Application
Inotrah Services may be offered through its website, emails, officially sponsored client applications, documented application programming interfaces, and other methods. These offerings collectively shall be referred to as the Application, and your Account may be accessible through one or more of these means. This Agreement covers the appropriate use of your Account and the rules that govern that use when accessed through any part of the Application, but not by means other than officially supported by Inotrah.
Precious Metals Products and Services Offering
Inotrah will facilitate the purchase and sale of precious metals on behalf of its Clients. Purchase orders may be placed in either Us Dollar or other internationally accepted currencies for a specific quantity. In the event of a Dollar order placement, Inotrah will effect the purchase of the quantity of the Product type ordered without exceeding the total Dollar amount of the order. All transactions are executed by, and assets are stored by Inotrah and its Business Associates.
All Products offered by Inotrah are displayed in its Application. All Products and Service offerings are subject to availability. Inotrah will make commercially reasonable efforts to accurately reflect the availability of all Products at the time a Client places an order to purchase or commitment to invest in such Product.
However, due to factors beyond Inotrah’s control, this information may not always be accurate, and all Client indications of intent to purchase are subject to cancellation by Inotrah for any reason until such time that a purchase or investment is confirmed by Inotrah to be complete. Inotrah and its Associates will not be held responsible for any potential gains or losses that could have been incurred as a result of the failure to complete an order, regardless of the reason.
Certain Products may not be available for purchase or sale during extended trading hours. Please make direct inquiries via email or a telephonic call with Inotrah for further Information.
Purchase/Sale Price
When a Client submits a purchase or sale order, Inotrah and Its Associates will make commercially reasonable efforts to execute the order as soon as reasonably practicable after receiving it. For each purchase or sale order, Inotrah will make commercially reasonable efforts to obtain best execution pricing for that order. Orders involving multiple Products may be executed with more than one Dealer, and each Product may be purchased or sold at a different price, and different Products may be physically delivered at different times.
Order Placement
All orders must be placed through the Application.
Settlement
All purchases placed with Inotrah require the Client to first deposit sufficient funds on account to cover the estimated cost of the order, including Transaction Fees, plus an execution buffer to guard against volatility in the market, each of which Inotrah will disclose prior to placement of the order.
Upon the confirmation of a purchase order by the Client, Inotrah will reserve the appropriate amount of these funds for the settlement of the order; however, funds may remain in the account until settlement at a later time (outlined below).
In the case of sales, Inotrah will deposit the proceeds to the Client’s DDA.
In certain circumstances, physical delivery to Its Associates ’s contracted vaults may be delayed due to the transportation requirements of moving Precious Metals; however, the title is always transferred on the settlement date of the order. Pursuant to the agreement between each Dealer and Its Associates , the Dealers will bear any costs, expenses, or liabilities (including replacement costs) if any Precious Metal purchase or sale order is either delayed or not physically delivered after order settlement.
Inotrah and Its Associates will accept Client orders 24 hours per day, 7 days per week. However, because the firm only conducts trading 24 hours a day, 5 days a week on days that the JSE is open for business: i) final Client execution prices for orders placed on weekends or market holidays may vary from the price quoted within the bounds of the execution buffer, if any, quoted at the time of order confirmation; and ii) orders may be subject to suspension or cancellation as detailed below.
Trade settlements will follow a trade date + two business days cycle.
Precious Metals Dealers
Our Partners and Associates , maintain relationships with various approved dealers constituting Inotrah’s authorized network (the “Dealers”) for the purpose of buying and selling Precious Metals on behalf of their Clients.
Precious Metals Purity
Our Partner, and Associates , will procure Precious Metals meeting a minimum purity content specified by either the Relevant Regulation Authority or Sovereign Governments for all Products except 1kg bars, which will require a minimum purity of .9999, and silver products, which will have a purity content of .999.
Suspension or Cancellation of Transactions
Inotrah or Its Associates may suspend, cancel, or partially execute purchases or sales with respect to Clients under the following circumstances:
- when trading of the Precious Metals is restricted on any one or more markets;
- if Inotrah/Innovators and Trailblazers Holdings determine they are unable, for any reason, to determine the price or value of the Precious Metals or to execute an order;
- if the purchase or sale would, at the discretion of Inotrah/Innovators and Trailblazers Holdings, result in a violation of applicable law or regulation;
- during any disruption in the communication or computation systems used by Inotrah/ Innovators and Trailblazers Holdings to communicate with Dealers or determine the price or value to execute orders;
- during any period in which Inotrah/Innovators and Trailblazers Holdings has suspended its operations or is in the process of an orderly liquidation;
- in the event of a Force Majeure Event preventing fulfillment of a purchase or sale order; or
- for any other reason if Inotrah/Innovators and Trailblazers Holdings determine that such order would not be in their best interests or could have a material adverse effect on Inotrah, Its Associates , or any
Storage of Precious Metals by a Vaulting Partner
Precious Metals purchased for storage through Inotrah will be stored by a third-party internationally recognized service provider (“Vaulting Partner”) selected by Inotrah and/or Its Associates . Current Vaulting Partners are Adegu mining , Ghana, Bulk logistics, Kenya, Jonro global Trading, Dubai, and Iolite dmmc, Dubai.
Vaulting Partners are subject to change without notice or may be added in the future.
Precious Metals stored in any vault are under 24-hour surveillance and are regularly visually inspected by independent auditors.
Transport and Storage Insurance
Transport of Precious Metals in connection with a purchase or sale will be provided by Its Associates ’s Vaulting Partners or by Its Associates ’s Dealers directly or through insured common carrier transportation services.
The transport and storage of Precious Metals by a Vaulting Partner will be insured under the Vaulting Partner’s insurance policy. For instance, Lloyds of London insures all movement and storage of Precious Metals on behalf of Brink’s, Loomis, and Malca Amit for the full replacement value of the Precious Metals. The policy is an “all risks” policy but does not cover losses for Force Majeure Events.
Taking Personal Possession of Precious Metals
Any request by a Client to take possession of Precious Metals instead of storing them with a Vaulting Partner will be solely at the discretion of the Client.
Delivery times may vary depending on market conditions.
A Client requesting delivery acknowledges bearing all risks associated with removing Precious Metals from the Chain of Custody of an approved Vaulting Partner. These risks include potential loss of value incurred when attempting to return Precious Metals to the chain of custody, including the costs of retesting and potential melting and reformation by a certified Refiner/Assayer as required prior to a Dealer accepting the Precious Metals.
The Client also understands the risks and costs associated with self-storing and insuring Precious Metals if desired. Precious Metals will not be delivered to any Client or its custodian without acceptance of the associated risks of taking delivery outside of the chain of custody.
Auditing of Precious Metals Holdings
Our Associates engage internationally recognised audit/accounting firms (the “Auditor”) to visit each Vaulting Partner’s facility in which our Associates stores Precious Metals to confirm all holdings. The Auditor will count each bar and confirm by serial number, if applicable, or by the number of bars/coins in the vault.
Reporting
After each trade, Inotrah/Innovators and Trailblazers Holdings will provide the Client with a confirmation detailing the amount of Precious Metals bought or sold, the total execution price at which the Precious Metals were purchased or sold, and the aggregate settlement amount.
Inotrah/Innovators and Trailblazers Holdings will electronically provide each Client storing Precious Metals with Inotrah a Client statement setting forth the value of such Client’s holdings, based on the current indicative sale price of the Products back to Its Associate’s Dealers, derived from the closing price for the last business day of the preceding month.
The statements will provide a detailed accounting of the holdings and a description of the quantity or fine weight of each bar/coin type held by the Client.
Tax and Other Considerations
Inotrah and Its Associates do not provide tax advice and recommend Clients consult appropriate investment, tax, legal, and/or other advisors concerning the purchase, sale, and storage of Precious Metals.
Currency Operations
All purchases and sales of Products and Services will be conducted in US dollars.
Regulatory Considerations
IInotrah/Innovators and Trailblazers Holdings is not a broker-dealer or a futures commission merchant and is not subject to regulation by the Financial Sector Conduct Authority (FSCA) or any self-regulatory organization in South Africa.
Inotrah/Innovators and Trailblazers Holdings does not act as an investment adviser or commodity trading advisor regarding Precious Metals transactions and does not offer investment or commodity trading advice concerning precious metals.
Precious Metals are not considered securities or futures contracts under South African law. Therefore, the protections provided by securities and commodities laws will not apply to investments in Precious Metals through Inotrah, including, but not limited to, the protections provided by the Securities Investor Protection Corporation (SIPC). Inotrah / Innovator And Trailblazers is a licensed financial services provider (FSP) and complies with the regulations set forth by the FSCA for conducting commodity trading activities.
Taxpayer Identification Information
Clients from South Africa will be required to provide a South African Identity Number or any other relevant taxpayer identification number as mandated by the South African Revenue Service (SARS) to Inotrah as part of the Account opening and Account maintenance process. Client certifies, under penalty of law, that: The taxpayer identification number provided on its application form is accurate (or it is awaiting issuance of a number); and It is not subject to any withholding requirements because: (a) it is exempt from withholding, or (b) it has not received notification from the relevant authority that it is subject to withholding due to failure to report all applicable income, or
(c) it has been notified that it is no longer subject to withholding; and It is compliant with South African tax laws and regulations; and Any relevant tax status declarations provided in its application form (if applicable) are accurate.
Other Terms
The terms of this Agreement, and Client’s Account with Inotrah shall also be governed by Inotrah’s Terms of Service, Customer Agreement, and Privacy Policy, the terms of which are incorporated herein by reference and made a part hereof. By accepting this agreement, the Client acknowledges that they have read this Agreement in full and consents to be bound by all of the terms hereof. Client also acknowledges that it has read in full and consents to be bound by all of the terms of Inotrah’s Terms of Use, Customer Agreement, and Privacy Policy. Inotrah reserves the right to change any of the terms of this Agreement at any time without prior notice to Client, and any such changes will be effective upon Client and its Account(s) five (5) business days from its posting. Client’s continued use of Inotrah’s Services and Products following any such modification constitutes its acceptance of any such changes to this Agreement.

Introduction
At Inotrah (“us”, “we”, “our” or “Inotrah”) we value your privacy and the importance of safeguarding your data. This Privacy Policy (the “Policy”) describes our privacy practices for the activities set out below. As per your rights, we inform you how we collect, store, access, and otherwise process information relating to individuals. In this Policy, personal data (“Personal Data”) refers to any information that on its own, or in combination with other available information, can identify an individual.
Inotrah provides an integrated checking and investment services account. This Privacy Policy explains our practices regarding the collection, use, and disclosure of information that we receive through our website located at www.Inotrah.com (the “Site”), our mobile application (the “App”), and our communications with you (collectively, the “Services”). This Privacy Policy does not apply to any third-party websites, services, or applications, even if they are accessible through our Services.
Revisions to this Privacy Policy. Any information that is collected via our Services is covered by the Privacy Policy in effect at the time such information is collected. We may revise this Privacy Policy from time to time. If we make any material changes to this Privacy Policy, we’ll notify you of those changes by posting them within the Services or by sending you an email or other notification, and we’ll update the “Last Updated Date” above to indicate when those changes become effective.
Scope. This Privacy Policy applies to all users of our Services including without limitation, site visitors, account holders, and App users (all such users of the Services including account holders and non-account holders collectively referred to as “Users”).
What Information We Collect.
Sign Up Information. When you sign up to create an account with Inotrah, including through the App, we collect and retain certain information that you can be used to identify you (“Personal Data”), including, in the case of account creation: your name, email address, Identification Doument Number, date of birth, phone number, images or information from your driver’s license or other government ID, and residential address.
In order to create your account and enable certain of our services, we will need to collect information to verify your identity. This may include identity verification information from third parties, as well as your bank account information.
Information You Voluntarily Provide. You may also provide certain information to us when you use the Services. For instance, you may choose to manually provide information about yourself, including, but not limited to, income level, and investment experience. Separately you may also choose to enable certain settings or permissions on your device that allows our App to receive data that your device collects about you, including, but not limited to, your location, camera permission, notifications, and OS-level identity verification services. You may also voluntarily provide information about yourself when you contact us for support or other inquiries, or provide feedback about the Services.
Transaction Data. When you initiate a transaction, we collect information to confirm and process it. This may include information about investment accounts held with third parties. This information may be shared with other third parties to facilitate the transaction. We may also collect your email address and mobile phone number from third parties if you initiate or receive a transaction.
Interaction Data: We also collect information relating to the actions that you perform while logged into your account.
Location Information. When you use our Services, we may collect and store information about your location by converting your IP address into a rough geo-location or, when interacting with our mobile application, by accessing your mobile device’s GPS or location services, which may provide more precise geolocation information, if you enable location services on your device.
Information Sent by Your Device. We collect certain information that your mobile device, laptop, or other hardware device sends when you use our Services, including but not limited to IP Address, user agent information, network and connectivity information, device identifiers, advertising identifiers, language preferences, user settings, software and operating system names and versions, hardware models, as well as other information about your use of our Services.
Third Parties. We may also obtain information about Users from third parties, including but not limited to affiliates, joint marketing partners, lead providers, fraud and risk mitigation vendors, and identify verification services.
Information Collected Using Cookies and other Web Technologies. Like many website and app owners and operators, we (and our partners who assist us with marketing, analytics, User research, advertising, and user support) may utilize automated data collection tools such as Cookies and Web Beacons to collect certain information from Users of our Services. These tools are used for a variety of purposes, including but not limited to User authentication, account security, delivery and measuring of advertising, analyzing site traffic and trends, and fraud prevention.
“Cookies” are small text files that are placed on your device by a web server when you access our Services. We may use both session Cookies and persistent Cookies to identify that you’ve logged in to the Services and to tell us how and when you interact with our Services. We may also use Cookies to monitor aggregate usage and web traffic routing on our Services and to customize and improve our Services. “Web Beacons” (also known as web bugs, pixel tags, or clear GIFs) are tiny graphics with a unique identifier that may be included on our Services for several purposes, including to deliver or communicate with Cookies, to track and measure the performance of our Services, to monitor how many visitors view our Services, and to monitor the effectiveness of our advertising. Unlike Cookies, which are stored on the device, Web Beacons are typically embedded invisibly on web pages (or in an email).
“Log Data” means certain information about how a User uses our Services. Log Data may include information such as a User’s IP address, browser type, operating system, the web page that a User was visiting before accessing our Services, the pages or features of our Services to which a User browsed and the time spent on those pages or features, search terms, the links on our Services that a User clicked on and other statistics. We collect and use Log Data to administer the Services and we analyze (and may engage third parties to analyze) Log Data to improve, customize and enhance our Services by expanding their features and functionality and tailoring them to our Users’ needs and preferences. We may use a person’s IP address and other Log Data to generate information about how our Services are used and to detect fraud.
How We Use the Information. Our primary goals in collecting information are to provide and improve our Services, to customize content and the Services for you, to administer your use of the Services (including your account, if you are an account holder), and to enable you to enjoy and easily navigate our Services. We will use your Personal Data for the following purposes:
Providing our Services, including to help you understand and utilize our integrated checking, credit card, and investment services.
Communicating with Users and providing customer support in relation to the Services.
Resolving disputes, responding to inquiries, collecting and processing payments fees (as applicable) and troubleshooting problems.
Managing our everyday business needs, including, but not limited to the following activities: auditing, administration of the Services, forum management, fulfillment, analytics, fraud prevention, identify verification, and enforcement of our Terms of Service, or to comply with applicable laws or regulations. Customizing your experience and otherwise measuring and improving our content and Services.
Sending you relevant emails and communications (including keeping you informed about our products, offerings, and any promotional offers) that might be of interest to you. (In the event that we use your personal information to market to you, you will be able to opt-out of such uses).
Enforcing our agreements, terms, conditions, and policies, and sending you notices and alerts. Better understanding our Users’ interests, behaviors, and demographics.
We may also use your information for any other purpose disclosed to you at the time we collect or receive your information, or otherwise with your consent. Any communication or material you transmit to us via e- mail or otherwise, including any data, questions, comments, chats, phone calls, suggestions or the like (though excluding your personal information) will be treated as non-confidential and non-proprietary.
Information that We Share with Third Parties. We will not share any Personal Data that we have collected from or regarding you except as described below:
- Services Providers and Business Partners. We may engage third-party service providers to help us administer, provide, and improve the Services, including but not limited to the following types of partners: third party financial financial institutions and financial services companies, web hosting providers, cloud hosting providers, fraud detection services, identity verification services, fulfillment service providers, and customer support These third-party services providers will have access to your Personal Data for the purpose of performing services on our behalf. For example, we may share your Personal Data with a cloud hosting providers (for example, Amazon Web Services) as part of our utilization of their hosting services.

(“Facebook”) that enable it to collect or receive information about actions Users take on: (a) our Site and elsewhere on the internet through the use of Cookies, Web Beacons and other storage technologies; or (b) our App and other mobile applications, in order to provide measurement services, targeted ads and other services. - Information Disclosed in Connection with Business Transactions. Information that we collect from our Users, including Personal Data, is considered to be a business asset. Thus, if we are acquired by a third party as a result of a transaction such as a merger, acquisition, or asset sale, or if our assets are acquired by a third party in the event we go out of business or enter bankruptcy, some or all of our assets, including your Personal Data, may be disclosed or transferred to a third party acquirer in connection with the

Your Choices. We offer you choices regarding the collection, use and sharing of your Personal Data and we’ll respect the choices you make. Please note that if you decide not to provide us with the Personal Data that we request, you may not be able to access all of the features of the Services.
Device Permissions. There are various device permissions that our app may request, including for instance, location, camera, notifications, and OS identity verification services (e.g. TouchID). You are free to allow, disallow, or revoke any of these permission requests at any time, however some features of the Services may not function properly without the permission being granted.
Opt-Out of our Mailings. We may periodically send you free newsletters and emails that directly promote our Services. When you receive such promotional communications from us, you will have the opportunity to “opt-out” (by following the unsubscribe instructions provided in the email you receive). We do need to send you certain communications regarding the Services and you will not be able to opt out of those communications – e.g., communications regarding updates to our Terms of Service or this Privacy Policy or information about billing.
Opt-out of Ad Tracking. You can opt out of the collection and use of your information for ad targeting by going to http://www.aboutads.info/choices or http://www.youronlinechoices.eu/ to limit collection through the Site, by configuring the settings on your browser, or by using cookie blocking extensions in your browser (such as Privacy Badger or Ghostery).
Modifying Your Information. You can access and modify the Personal Data associated with your account by sending an email to privacypolicy@inotrah.com. If you want us to delete your Personal Data or your account, please contact us at appsupport@inotrah.com with your request. We’ll take steps to delete your information as soon as we can, but some information may remain in archived/backup copies for our records or as otherwise required by law.
Non-Affiliate Marketing. We do not currently share Personal Data with third parties seeking to market their own products or services to our Users, unless you indicate to us an interest in that third party’s products or services. However, in the event that the company would begin sharing such information for such purpose, Users will be allowed to opt out of such sharing.
Responding to Do Not Track Signals. Our Site does not currently have the capability to respond to “Do Not Track” signals received from various web browsers.
